1. Definitions
“IT LEGENDS”, “we”, “us”, and “our” refer to IT LEGENDS LLC. “Client”, “you”, and “your” refer to the organization or individual receiving services from IT LEGENDS.
2. Scope of Services
IT LEGENDS provides managed IT, consulting, and related services as described in our proposals, statements of work, or service agreements. Specific service scopes, deliverables, and fees are defined in one or more written agreements between IT LEGENDS and the Client.
3. No Guaranteed Uptime or Outcomes
While we work to provide reliable services, IT systems can fail. Unless explicitly stated in a separate Service Level Agreement signed by both parties, IT LEGENDS does not guarantee uninterrupted uptime, specific performance outcomes, or protection from all cyber incidents.
4. Client Responsibilities
- Provide accurate information about systems, users, and requirements.
- Maintain valid licensing for software unless otherwise agreed.
- Follow reasonable security recommendations provided by IT LEGENDS.
- Notify IT LEGENDS promptly of security incidents or suspected breaches.
- Ensure staff cooperation with IT LEGENDS support and security processes.
5. Fees & Payment
Fees, billing frequency, and payment terms will be set out in an agreement or invoice. Unless otherwise agreed in writing:
- Recurring services are billed in advance.
- Project work is billed as described in the relevant proposal.
- Late payments may result in suspension or termination of services after reasonable notice.
6. Data, Backups & Security
IT LEGENDS may assist with backup configurations and security measures, but the Client is ultimately responsible for critical business decisions regarding data retention, backup frequency, and recovery objectives.
Unless explicitly specified in a signed agreement, IT LEGENDS does not act as the legal custodian of your data and is not responsible for loss of data beyond what is covered in the applicable agreement.
7. Limitation of Liability
To the fullest extent permitted by law, IT LEGENDS will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
In all cases, IT LEGENDS’ total liability for any claims arising out of or related to the services is limited to the total amount paid by the Client to IT LEGENDS for the services in the three (3) months preceding the event giving rise to the claim, unless a different limitation is explicitly stated in a signed agreement.
8. Third-Party Vendors & Services
IT LEGENDS may recommend or help manage hardware, software, or services from third parties (including HP / HPE, Pax8, Microsoft, backup providers, or software vendors). Those third parties are responsible for their own products and services.
IT LEGENDS is not responsible for failures, breaches, or outages caused by third-party vendors, platforms, or networks beyond our reasonable control.
9. Termination
Either party may terminate services as described in the relevant agreement or statement of work. If no termination terms are specified, either party may terminate ongoing services with thirty (30) days written notice.
Upon termination, the Client remains responsible for payment of all fees incurred up to the effective termination date.
10. Acceptable Use
You agree not to use IT LEGENDS services to engage in illegal activities, violate others’ rights, or compromise the security or integrity of systems. IT LEGENDS reserves the right to suspend services if we reasonably believe our systems are being used in a way that creates undue risk or violates applicable laws.
11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date below. Continued use of our services after changes means you accept the updated Terms.

12. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
